Legal agreement governing your use of Next Evolution services

1. Acceptance of Terms

Welcome to Next Evolution. By accessing or using our platform at nextevolution.io ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service, including but not limited to:

  • Free tier users accessing SEO/AEO/AIO/GEO website analysis
  • Paid subscribers to Newsletter, Newsletter+Blog, or Full Suite tiers
  • Purchasers of one-time premium SEO reports
  • Consulting engagement clients

We reserve the right to update and change these Terms by posting updates on this page. Your continued use of the Service after changes constitutes acceptance of the revised Terms.

2. Description of Service

Next Evolution provides an integrated SaaS platform for AI-powered business automation across three primary service pillars:

2.1 SEO/AEO/AIO/GEO Analysis

Website scanning and optimization tools including:

  • Free 8-category website scans evaluating eligibility hygiene, extractability, entity trust, structured data, local reviews, earned proof, AI visibility, and governance
  • Public leaderboard ranking website SEO performance
  • Optional premium reports ($199 one-time purchase) with detailed recommendations and PDF deliverables

2.2 Content Intelligence Marketing

Subscription-based marketing automation tools including:

  • Custom industry newsletter curation from RSS feeds, social media, and news sources
  • AI-powered blog post and content generation with quality scoring
  • Social media formatting and publishing to LinkedIn, Twitter/X, Instagram, TikTok, and Facebook
  • Company knowledge base with document upload and hybrid search

2.3 AI Business Consulting

Professional consulting services for AI and automation strategy, including:

  • Technology assessments and automation readiness evaluations
  • AI strategy development and implementation planning
  • Custom workflow automation and system integration
  • Training and change management support

3. Account Registration and Security

3.1 Account Creation

To access certain features of the Service, you must register for an account. When you register, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security of your password and authentication credentials
  • Accept all responsibility for activity that occurs under your account
  • Notify us immediately of any unauthorized use of your account

3.2 Account Eligibility

You must be at least 18 years old to use this Service. By agreeing to these Terms, you represent that you are at least 18 years of age and have the legal capacity to enter into this agreement.

3.3 Account Termination

We reserve the right to refuse service, terminate accounts, or remove content at our sole discretion, including for violations of these Terms or for any other reason without notice or liability.

4. Subscription Tiers and Billing

4.1 Service Tiers

Next Evolution offers the following subscription tiers, each granting access to specific features:

  • Free Tier: SEO website scans and leaderboard access (no payment required)
  • Newsletter Tier: Content Intelligence features including source management, knowledge base, and newsletter composition
  • Newsletter+Blog Tier: Newsletter Tier features plus blog post generation and content editor
  • Full Suite Tier: All features including social media formatting, publishing, and queue management

4.2 Billing and Payment

Subscription billing is processed through Stripe. By subscribing, you agree to:

  • Provide current, complete, and accurate payment information
  • Authorize recurring charges to your payment method at the subscription interval (monthly or annual)
  • Pay all charges at the prices in effect when incurred
  • Update payment information promptly if your payment method changes

4.3 Premium SEO Reports

Premium SEO reports are one-time purchases priced at $199 USD per report. Payment is processed immediately through Stripe. Premium reports include:

  • Comprehensive 8-category analysis with detailed scoring
  • Prioritized action items and optimization recommendations
  • Professional PDF report generated via Claude Sonnet AI
  • Integration enrichment data from Google PageSpeed, Search Console, Bing Webmaster (if configured)

4.4 Subscription Changes and Cancellation

You may upgrade, downgrade, or cancel your subscription at any time through your account dashboard. Changes take effect at the end of the current billing period. Upon cancellation:

  • You will retain access to paid features until the end of the billing period
  • Your account will revert to Free Tier access after the paid period expires
  • No refunds will be provided for partial billing periods

4.5 Price Changes

We reserve the right to change subscription pricing with at least 30 days' notice. Price changes will not affect your current billing period. If you do not accept a price increase, you may cancel your subscription before the new price takes effect.

5. Acceptable Use

5.1 Permitted Use

You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service:

  • In any way that violates applicable federal, state, local, or international law
  • To transmit or procure the sending of advertising or promotional material, including "spam"
  • To impersonate or attempt to impersonate Next Evolution, an employee, another user, or any other person or entity
  • To engage in any conduct that restricts or inhibits anyone's use of the Service

5.2 Prohibited Activities

You specifically agree not to:

  • Attempt to gain unauthorized access to the Service, user accounts, or computer systems
  • Use automated systems (bots, scrapers) to access the Service in violation of our robots.txt or rate limits
  • Reverse engineer, decompile, or disassemble any portion of the Service
  • Remove, obscure, or alter any legal notices displayed in or along with the Service
  • Use the Service to scan or analyze websites without proper authorization
  • Resell, redistribute, or provide access to the Service to third parties without written permission

5.3 Rate Limits and Usage Restrictions

We may impose reasonable limits on your use of the Service to ensure system stability and fair access for all users, including:

  • Limits on the number of website scans per month by tier
  • Limits on content generation volume and social media posting frequency
  • API rate limits for programmatic access

Excessive use that degrades service performance for other users may result in temporary access restrictions or account suspension.

6. Intellectual Property

6.1 User Content Ownership

You retain all intellectual property rights to content you create, upload, or generate using the Service ("User Content"), including:

  • Documents uploaded to your knowledge base
  • Blog posts and articles generated through the platform
  • Newsletter content and social media posts
  • Company profiles and configuration data

6.2 License to Use User Content

By submitting User Content to the Service, you grant Next Evolution a limited, non-exclusive, royalty-free license to:

  • Process your content to provide the Service (AI generation, analysis, publishing)
  • Store your content on our infrastructure (Supabase, cloud storage)
  • Use aggregated, anonymized data to improve our AI models and Service features

We will never sell your User Content to third parties or use it for purposes other than providing and improving the Service you've subscribed to.

6.3 Platform Ownership

Next Evolution retains all rights, title, and interest in and to the Service, including:

  • The Next Evolution platform, website, and software
  • All trademarks, service marks, trade names, logos, and branding
  • AI models, algorithms, scoring methodologies, and proprietary technology
  • Documentation, guides, templates, and educational materials

These Terms do not grant you any ownership rights in the Service or platform technology.

6.4 Feedback and Suggestions

If you provide feedback, suggestions, or ideas about the Service, you grant us the right to use such feedback without restriction or compensation to you.

7. Third-Party Services and Integrations

7.1 External Services

The Service integrates with third-party platforms and APIs, including:

  • Supabase (database and authentication)
  • Stripe (payment processing)
  • Anthropic Claude and OpenAI (AI content generation)
  • SendGrid (email delivery)
  • Social media platforms (Twitter/X, Instagram, Facebook, LinkedIn, TikTok)
  • Google PageSpeed, Google Search Console, Bing Webmaster (optional SEO integrations)

Your use of these third-party services is governed by their respective terms of service and privacy policies. We are not responsible for the availability, performance, or policies of third-party services.

7.2 OAuth and Social Media Authorization

When you connect social media accounts, you authorize Next Evolution to:

  • Post content on your behalf to connected platforms
  • Access basic profile information necessary to publish content
  • Store encrypted OAuth tokens for authentication

You may revoke these authorizations at any time through your account settings or directly through the social media platform.

8. Data Usage and Privacy

Your privacy is important to us. Our collection, use, and protection of your personal data is governed by our Privacy Policy, available at nextevolution.io/privacy.

By using the Service, you consent to the data practices described in our Privacy Policy, including:

  • Collection of account information, website scan data, and content intelligence data
  • Use of data solely to provide and improve the Service
  • No sale of your data to third parties
  • Security measures including TLS encryption, AES-256 encryption at rest, and secure authentication

9. Limitation of Liability

9.1 Service Provided "As Is"

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. NEXT EVOLUTION MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability, fitness for a particular purpose, or non-infringement
  • That the Service will meet your requirements or be available uninterrupted, timely, secure, or error-free
  • That AI-generated content will be accurate, complete, or suitable for your purposes
  • That SEO recommendations will result in specific ranking improvements

9.2 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXT EVOLUTION SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, use, goodwill, or other intangible losses
  • Damages resulting from unauthorized access to or alteration of your content
  • Damages resulting from third-party services or social media platform actions

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO NEXT EVOLUTION IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100 USD, WHICHEVER IS GREATER.

9.3 AI-Generated Content Disclaimer

Content generated by AI models (blog posts, newsletters, social media posts, SEO recommendations) is provided as a tool to assist your marketing efforts. You are responsible for:

  • Reviewing all AI-generated content before publication
  • Ensuring accuracy, appropriateness, and compliance with applicable laws
  • Verifying that published content does not infringe third-party rights

Next Evolution is not responsible for the accuracy, quality, or consequences of publishing AI-generated content.

10. Indemnification

You agree to indemnify, defend, and hold harmless Next Evolution and its officers, directors, employees, contractors, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorney fees) arising out of or in any way connected with:

  • Your access to or use of the Service
  • Your violation of these Terms
  • Your User Content or any content you publish using the Service
  • Your violation of any third-party rights, including intellectual property or privacy rights

11. Termination

11.1 Termination by You

You may terminate your account at any time by:

  • Canceling your subscription through your account dashboard
  • Contacting us at info@nextevolution.io to request account deletion

Upon termination, your access to paid features will continue until the end of the current billing period, after which your account will revert to Free Tier access.

11.2 Termination by Next Evolution

We may suspend or terminate your account immediately, without prior notice or liability, if:

  • You breach these Terms or our Acceptable Use Policy
  • Your payment method fails or your account is past due
  • We are required to do so by law or regulatory authority
  • Continued provision of Service would create security or technical risks

11.3 Effect of Termination

Upon termination:

  • Your right to access the Service will immediately cease
  • We may delete your User Content in accordance with our data retention policies
  • You remain responsible for all charges incurred prior to termination
  • Provisions of these Terms that by their nature should survive termination will survive, including intellectual property provisions, limitation of liability, and dispute resolution

12. Dispute Resolution and Governing Law

12.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Next Evolution regarding the Service and supersede all prior agreements and understandings.

13.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

13.3 No Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

13.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

13.5 Force Majeure

Next Evolution will not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, or internet service provider failures.
